THIS END USER LICENSE AGREEMENT ("EULA") IS A LEGAL AGREEMENT BETWEEN YOU, THE LICENSEE, AND 3M COMPANY ("3M") REGARDING THE SOFTWARE PRODUCT(S) IDENTIFIED ABOVE AND RELATED DOCUMENTATION ("3M SOFTWARE"). BY CLICKING THE "I ACCEPT" BUTTON AND/OR BY INSTALLING, COPYING, DOWNLOADING OR OTHERWISE USING THE 3M SOFTWARE, LICENSEE AGREES TO BE BOUND BY THE TERMS OF THIS EULA. IF YOU DO NOT HAVE SUCH AUTHORITY, OR IF YOU DO NOT AGREE TO BE BOUND BY THIS EULA, YOU MUST CLICK THE "I DECLINE" BUTTON, YOU MAY NOT COPY, DOWNLOAD, INSTALL OR MAKE ANY USE OF THE 3M SOFTWARE, AND YOU MAY RETURN THE 3M SOFTWARE FOR A REFUND OF THE PURCHASE PRICE.
License. The 3M Software is owned by 3M and/or its licensor(s), and is licensed, not sold, to you solely for use in accordance with this EULA. Subject to the terms of this Agreement, 3M grants you a limited, non-exclusive license to install and use the 3M Software on a single computer or other compatible device, solely for your own, internal business purposes. 3M reserves all rights to the 3M Software not expressly granted herein. The terms and conditions of this EULA apply to any updates, upgrades or new releases of the 3M Software unless they are accompanied by a separate license agreement.
Prohibited Use. You may not, without 3M's prior, written consent, (i) install the 3M Software on a network server or otherwise make the 3M Software available to multiple concurrent users; (ii) transfer, sublicense, lease, or lend the 3M Software to any third party, or permit any third party to access or use the 3M Software; (iii) make copies of the 3M Software, except for a single archive copy, which shall include all copyright and proprietary markings of the original; (iv) decompile, disassemble, reverse engineer or otherwise decode or derive the source code except as expressly permitted by law; or (v) modify or create derivative works of the 3M Software.
Additional Requirements. Use of the 3M Software may require Licensee to obtain additional hardware, software or services from 3M or from a third party ("Additional Requirements"). Licensee is solely responsible for obtaining and maintaining such Additional Requirements at its own cost and expense.
Termination. 3M may terminate this Agreement and the licenses granted herein upon notice to Licensee, with or without cause. Upon termination or expiration of this Agreement, Licensee shall cease using, uninstall and securely delete to 3M Software and, at 3M's option, destroy or return to 3M any media and documentation accompanying the 3M Software.
Intellectual Property and Confidentiality. Licensee acknowledges and agrees that the 3M Software, and all copies, modifications and derivative works thereof, are the property of 3M and its licensor(s). Licensee agrees to keep the 3M Software confidential, and shall not display or otherwise disclose the 3M Software and related documentation, information regarding the features, functions and performance of the 3M Software to any third party without 3M's express, written authorization in each instance.
WARRANTY DISCLAIMER. THE 3M SOFTWARE IS PROVIDED "AS IS" AND "WHERE IS," AND 3M DISCLAIMS ANY AND ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT AND TITLE, AND THOSE ARISING FROM TRADE USAGE OR A COURSE OF DEALING. WITHOUT LIMITING THE FOREGOING, 3M DOES NOT WARRANT THAT THE 3M SOFTWARE IS FREE FROM BUGS, ERRORS OR OMISSIONS, OR THAT THE SOFTWARE WILL PROVIDE ACCEPTABLE RESULTS.
LIMITATION OF LIABILITY. LICENSEE ACCEPTS ALL RISK ARISING FROM ITS INSTALLATION AND USE OF THE 3M SOFTWARE. LICENSEE AGREES THAT 3M WILL NOT BE LIABLE FOR ANY DIRECT, SPECIAL, INCIDENTAL, INDIRECT, OR CONSEQUENTIAL DAMAGES (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR PERSONAL INJURY, LOSS OF BUSINESS PROFITS, BUSINESS INTERRUPTION, LOSS OF DATA, LOSS OF BUSINESS OR CONFIDENTIAL INFORMATION, LOSS OF PRIVACY, OR ANY OTHER PECUNIARY LOSS) ARISING OUT OF THE USE OF OR INABILITY TO USE THE 3M SOFTWARE, EVEN IF 3M HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THE ABOVE LIMITATION MAY NOT APPLY IN SOME JURISDICTIONS.
U.S. Government Restricted Rights. The 3M Software is commercial computer software developed exclusively at private expense, and in all respects is proprietary data belonging solely to 3M. If the 3M Software is acquired by or on behalf of agencies or units of the Department of Defense (DoD), then, pursuant to DoD FAR Supplement Section 227.7202 and its successors (48 C.F.R. 227.7202) the Government's right to use, reproduce or disclose the 3M Software is subject to the restrictions of this EULA. If the 3M Software is acquired by or on behalf of civilian agencies of the United States Government, then, pursuant to FAR Section 12.212 and its successors (48 C.F.R. 12.212), the Government's right to use, reproduce or disclose the 3M Software is subject to the restrictions of this EULA.
Governing Law and Attorneys' Fees. This EULA is governed by the laws of the State of Minnesota, USA, excluding its conflict of laws rules, and specifically excluding the United Nations Convention on Contracts for the International Sale of Goods. The parties consent to jurisdiction and venue in the state and federal courts sitting in Ramsey County, Minnesota, and agree that all disputes arising from this EULA or from the 3M Software shall be venued in such courts. In any action or suit to enforce any right or remedy under this Agreement or to interpret any provision of this Agreement, the prevailing party will be entitled to recover its costs, including reasonable attorneys' fees.
General. This EULA constitutes the entire agreement between Licensee and 3M with respect to the subject matter hereof. In the event of conflict between the terms and conditions of this EULA and any other agreements or representations by or between the parties hereto, whether oral or written, this EULA shall govern. The terms of this EULA cannot be modified by any terms in any printed forms, including but not limited to purchase orders, and can only be modified or amended by express written consent of both parties. If any part of this EULA is held to be unenforceable as written, such provision shall be enforced to the maximum extent allowed by applicable law, and will not affect the enforceability of any other part. Licensee shall not transfer or assign this EULA, or any of its rights or obligations hereunder, without 3M's express, written consent. The original of this EULA is in English. If it is translated into another language, the English language version shall prevail.
