3M 2011 Advanced Composites (OEM) Program

Effective January 1, 2010 – December 31, 2011

The 3M 2010 Advanced Composites Original Equipment Manufacturer (or in this document, “OEM” or “Advanced Composites OEM”) Program supports all references in your Master Supply & Commercialization Agreement (“MCSA”), or a Prepreg Converter Agreement (“PCA”), effective January 1, 2010 through December 31, 2011.

To purchase 3M advanced composite products, an Advanced Composites OEM must complete, and have on file with 3M either a MSCA or a PCA which identifies specific products the OEM may purchase. OEM must also file with 3M a Profile and Contact Information form for any new location from which the OEM wishes and is authorized to sell product, as these forms must be completed before ordering any product for that location. New forms should also be completed if there are any changes to existing sales locations.

This program is available to Advanced Composite OEMs who meet the definition below.

OEM Definition - Accounts that are purchasing 3M advanced composite products for the following reasons:

• Buying to incorporate the 3M product as a component in a product they are making
• Buying to sell the 3M product with their product
• Buying to sell or give away the 3M product to their customers as a replacement product

In addition, An OEM account cannot be a) a Distributor, b) a Converter, c) a Repackager or d) an account that purchases a 3M product and consumes the 3M product in the course of making a product.

Note: The OEM understands that all of the terms and conditions of this Advanced Composites OEM Program are subject to change. 3M reserves the right to modify or terminate the Advanced Composites OEM Program, in whole or in part, at any time by giving verbal or written notice.
